Preparing initial information for the sale of a licensed company

Use this checklist to discuss your plans with an adviser. Requirements depend on the licence, company circumstances and jurisdiction.

Prepare a one-page company overview

Include the licence type, location, company and licence status, business overview, intended sale scope and timing. Initial information can use a project reference; detailed identity information can be shared at the appropriate negotiation stage.

Confirm what the transaction includes

Identify the company shares and related assets being sold, and whether accounts, leases, systems, personnel and contracts are included. List separately any items requiring third-party consent or a fresh review.

Prepare a document checklist

Collect company documents, ownership details, licences and restrictions, recent accounts, contracts, personnel arrangements and regulatory correspondence. An initial enquiry need not include every sensitive document; first confirm the required scope.

Agree how information and matching will be handled

Agree what information may be shown, who will receive enquiries and how documents will be shared before matching buyers. Do not submit identity documents, bank statements or customer information through public enquiry forms or instant chat.

Clarify fees and handover responsibilities

Before an engagement, clarify the service scope, fees, valuation basis and handover responsibilities. Quotations and completion times depend on the company, buyer assessment and required regulatory procedures.
