Trust company business

Under Part VIII of the Trustee Ordinance (Cap. 29), a qualifying company may apply to the Companies Registry for registration as a trust company. We assist with assessing trust business, company structure and registration arrangements, and with applications or company transactions as required. Unless exempt, a trust company providing trust or company services by way of business in Hong Kong must also obtain a TCSP licence under Cap. 615.

Main application requirements

  • The company structure and articles must meet the trust company registration requirements;
  • Meet the applicable share capital, director, shareholding restriction and deposit or bank guarantee requirements;
  • Check the applicable licensing and AML arrangements for the actual trust services and operating model.

Application process

  1. Understand the trust business and company structure;
  2. Assess registration requirements, personnel and compliance arrangements;
  3. Coordinate the application and related enquiries;
  4. Follow through on registration and subsequent operations.

Acquisition, sale and registration

An acquisition, sale or new trust company registration may be assessed. We assist with company and registration information, due diligence and handover, and check ownership and personnel changes and required approvals or filings for the actual business.
